Scupex terms of use

Please read these Terms of Use ('"Terms'") carefully before accessing or using the Scupex platform.
1. Introduction
Scupex ('"Platform'") is a school management system provided by Technox Solutions Ltd. ("we", "us", or "our"), a company duly registered and existing under the laws of the Federal Republic of Nigeria. These Terms of use govern your access and use of our Platform. By clicking to use the software or app, or by otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
Important: By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any provision, you must immediately discontinue use.
2. Account Registration
To use the Platform, you must:
- Provide accurate and complete registration information
- Maintain the confidentiality of your login credentials
- Immediately notify us of any unauthorized account use
Accounts registered by automated methods or with false information may be terminated without notice.
3. License & Restrictions
We grant you a limited, non-exclusive, non-transferable license to use the Platform for educational administration purposes.
You agree not to:
- Reverse-engineer, decompile, or modify any Platform components
- Use the Platform for any illegal or unauthorized purpose
- Circumvent any access restrictions or security measures
- Upload harmful code or engage in disruptive activities
- Use the Platform to violate any applicable laws
4. Fees & Payments
Subscription fees are outlined during registration. You agree to:
- Pay all applicable fees in a timely manner
- Provide accurate billing information
- Comply with the payment processor's terms
Important: We use third-party payment processors and do not store your payment card details. All transactions are subject to the processor's terms and privacy policy.
5. Content Ownership
You retain ownership of content you upload, but grant us a worldwide license to:
- Store, process, and display the content for Platform functionality
- Use aggregated, anonymized data for service improvement
You represent that you have all necessary rights to any content you upload.
6. Termination
We may suspend or terminate accounts for:
- Violations of these Terms
- Non-payment of fees
- Activities that may harm our systems or other users
Upon termination, we may retain data as required by law but are not obligated to maintain your content.
7. Disclaimers
The Platform is provided "as is" without warranties of any kind:
- We do not guarantee uninterrupted or error-free operation
- We are not responsible for content accuracy provided by schools
- We disclaim liability for any third-party services integrated with the Platform
- We do not warrant that the Platform will meet all your requirements
8. Limitation of Liability
To the maximum extent permitted by law, Technox Solutions Ltd. shall not be liable for:
- Any indirect, incidental, or consequential damages
- Loss of data or profits
- Damages resulting from unauthorized access to your account
- Issues caused by factors beyond our reasonable control
Our total liability for any claims shall not exceed the fees you paid in the 6 months preceding the claim.
9. Governing Law
These Terms shall be governed by Nigerian law. Any disputes shall be resolved through arbitration in Lagos, Nigeria.
10. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via:
- Email to registered users
- In-platform notifications
Continued use after changes constitutes acceptance of the modified Terms.
